These Terms govern access to and use of Transport Management Solutions (TMS), including carrier portals, public token flows, document vaults, and billing features.

Agreement to terms

By creating an account, accepting an invitation, or using a secure link issued by TMS, you agree to these Terms on behalf of yourself and, where applicable, the company you represent. If you do not agree, do not use the service.

The service

TMS provides software for transportation operators to manage carriers, drivers, fleet assets, compliance documents, hiring workflows, follow-ups, reports, and subscription billing. Features may change as we improve the platform. We may suspend access for maintenance, security, or unpaid invoices.

Accounts and responsibilities

  • Keep credentials confidential and use role-based access appropriately.
  • Ensure data you upload (driver applications, licenses, employment history, accidents, maintenance) is accurate and lawfully obtained.
  • Obtain any consents required before sending signature or update links to drivers or prior employers.
  • You are responsible for configuring company settings, document types, and billing payment methods.

Acceptable use

You may not misuse TMS to violate transportation safety regulations, harass individuals, probe or disrupt the service, reverse engineer non-public components beyond what law allows, or upload malware or unlawful content. We may investigate and remove access for abuse.

Documents and signatures

Document storage, PDF generation, and internal multi-signer sessions are provided as operational tools. Electronic signatures captured in TMS are intended for your internal compliance processes; you remain responsible for validating that your use of e-signatures meets applicable legal and regulatory requirements for your jurisdiction and load types.

Billing

Paid plans are billed according to your company's pricing rules and usage (for example drivers, trucks, and trailers). Invoices may be processed through Stripe. Failed payments may interrupt billable features. Free-company status, if granted by an administrator, may be revoked.

Intellectual property

Transport Management Solutions, its branding, software, and documentation remain our property or that of our licensors. You retain ownership of customer content you submit. You grant us a limited license to host, process, and display that content solely to operate the service.

Disclaimer and limitation

The service is provided "as is." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We are not a substitute for legal counsel or a designated FMCSA compliance advisor. Liability for any claim related to the service is limited to fees paid for the service in the twelve months before the claim.

Termination

Either party may terminate access according to your commercial agreement. Upon termination we may retain backups for a limited period as required for security, dispute resolution, or law, then delete or anonymize customer content consistent with our Privacy Policy.

Governing law

Governing law and venue have not been finalized for public publication. Jurisdiction is to be confirmed by legal counsel before production use of these Terms.
